TERMS OF USE

These Terms of Use (“Terms”) are a legally binding agreement between you and Show Streamz, Inc. (“Show Streamz,” “we,” “us,” “our”) governing your access to and use of the Show Streamz website(s), mobile application(s), software, tools, and related services (collectively, the “Platform”).

By accessing or using the Platform: creating an account, purchasing PPV/tickets, subscribing, viewing, participating in chat/Watch Rooms, listing or streaming an Event, uploading Content, or listing as a Production Vendor you agree to these Terms and the following policies, which are incorporated by reference (collectively, the “Policies”): Privacy Policy, Cookies Policy, Refund & Cancellation Policy, Community Guidelines, Production Standards, and Copyright/DMCA Policy. If you do not agree, do not use the Platform.

Priority of Terms. If there is a conflict: (a) checkout/configuration disclosures control for that specific transaction; (b) a Policy controls for its subject matter; and (c) these Terms control otherwise.

1. Definitions

  • “User”: any person or entity using the Platform.

  • “Fan”: a User purchasing or accessing Events/Content or using fan features.

  • “Talent”: artist/comedian/performer/creator/rights holder or authorized representative.

  • “Venue”: venue/location operator hosting productions.

  • “Promoter”: organizer/producer/promoter marketing or selling Events.

  • “Event Provider”: any Talent, Venue, and/or Promoter responsible for an Event (alone or jointly).

  • “Production Vendor”: independent production company/service provider offering filming/capture, switching, encoding, audio, lighting, crew, networking, monitoring, and related services.

  • “Event”: a live (or live-like) streamed performance/experience on the Platform, free or paid.

  • “Content”: all audio/video/images/text/metadata/recordings/VOD and other materials on or through the Platform.

  • “User Content”: Content uploaded, streamed, posted, submitted, or otherwise provided by Users.

  • “VOD”: video-on-demand recordings.

  • “PPV”: pay-per-view access to a specific Event and/or paid VOD.

  • “Watch Rooms”: group viewing features (may be tier-gated).

  • “Payment Processor”: third parties facilitating payments and payouts.

  • “Processing Fees”: Payment Processor fees and direct transaction processing costs.

  • “Refund Adjustments”: refunds, chargebacks, reversals, and related fees/penalties.

  • “Delivery Fees”: usage-based fees/pass-through costs tied to delivery and operation (e.g., streaming delivery, encoding/transcoding, storage, bandwidth/CDN, distribution, content protection/security monitoring), as disclosed in the Platform/checkout/configuration and/or Production Standards.

  • “Show Streamz Produced Event”: an Event the Platform explicitly designates as produced/organized by Show Streamz (or equivalent) on the Event page and/or checkout.

 

2. Platform Role; Responsibility Allocation; Show Streamz Produced Events

2.1 Platform as Technology Service (Third-Party Events)

Except for Show Streamz Produced Events, Show Streamz provides a technology Platform and does not control third-party Event Providers’ operations, staffing, production decisions, venue conditions, or legal compliance. Event Providers are solely responsible for: Event planning/execution, production readiness, staffing/crew, rights clearances, safety, compliance, representations to Fans, and fulfillment.

2.2 Show Streamz Produced Events (Liability Limited to Our Events)

Show Streamz may produce certain Events. We are responsible only for Events clearly labeled as a Show Streamz Produced Event. All other Events remain the responsibility of Event Providers, subject to non-waivable rights under applicable law.

2.3 No Agency; No Partnership; No Fiduciary

No relationship of employment, agency, partnership, joint venture, franchise, or fiduciary relationship is created by these Terms or your use of the Platform.

3. Eligibility; Accounts; Security; Verification

3.1 Eligibility and Minors

You must be at least 13 to use the Platform. If you are under 18 (or age of majority), you may only use the Platform with parent/guardian consent and supervision, and your guardian is responsible for your activity.

3.2 Account Accuracy and Integrity

You must provide accurate information and keep it current. We may require additional information for fraud prevention, compliance, or support.

3.3 Credential Security

You are responsible for all activity under your account and for safeguarding credentials. Notify us immediately at support@showstreamz.com if you suspect unauthorized access.

3.4 Account Restrictions (Anti-Abuse)

You may not sell, transfer, rent, or share accounts outside authorized features; use multiple accounts to evade enforcement; use VPN/proxy to bypass geo-restrictions; or attempt to bypass paywalls, tier gates, DRM, or session limits. We may use technical measures to enforce these restrictions.

3.5 Verification; Approval; Ongoing Compliance

Event Providers and Production Vendors may be subject to onboarding and verification (identity, business, tax, portfolio, insurance, technical qualification). We may suspend, limit, or revoke access for risk, noncompliance, fraud, piracy, security concerns, or legal obligations.

4. Fans and Users: Access Rules and Anti-Piracy

4.1 Limited License; No Ownership

When you buy PPV/tickets, paid VOD, or subscription access, you receive a limited, revocable, non-transferable license for personal, non-commercial use under the access window and restrictions shown at checkout/configuration. You do not obtain ownership of any Content.

4.2 No Recording, Ripping, Restreaming, or Public Exhibition

Unless authorized in writing, you may not record, capture, rip, reproduce, distribute, rebroadcast, publicly perform, publicly display, stream-share, or restream any Event/VOD, including via screen-sharing or third-party platforms. You may not host commercial/public exhibitions without a separate written license.

4.3 Anti-Circumvention

You may not bypass DRM, content protection, geo-blocks, tier gates, watermarking, or security controls. Attempted circumvention is a material breach and may result in immediate termination and enforcement.

4.4 Device/Network Responsibility

You are responsible for compatible devices/software and adequate internet access. Streaming performance may vary due to factors beyond our control.

4.5 Chargebacks and Fraud

Unjustified chargebacks or false fraud claims may result in termination, loss of access, and recovery actions as permitted by law.

4.6 Interactive Features

Chat/Watch Rooms/polls/clips are privileges. We may mute, restrict, suspend, or ban to enforce Policies.

4.7 Concurrency Limits; Session Controls; Device Fingerprinting; Anti-Account Sharing

4.7.1 Concurrency and Session Limits. Access to PPV/ticketing, paid VOD, and subscription Content may be limited by the Platform based on simultaneous streams (“concurrency”), active sessions, device type, geographic location, and other controls disclosed at checkout or in account settings. You may be required to sign in again or verify your session if the Platform detects abnormal usage.

4.7.2 Technical Enforcement Measures. To protect rights holders, Event Providers, and the integrity of the Platform, Show Streamz may implement technical measures including (without limitation) session timeouts, rate limits, geo-verification, token rotation, watermarking, and automated detection of account sharing, restreaming, and piracy.

4.7.3 Device Fingerprinting and Risk Signals. Show Streamz may collect and use device and network identifiers and signals (which may include device/browser attributes, IP address patterns, and other non-content technical signals) to establish a device fingerprint and risk profile for fraud prevention, account security, and anti-piracy enforcement, consistent with our Privacy Policy. We do not use these measures to sell personal data; they are used for security and enforcement.

4.7.4 Restrictions on Sharing Access. You may not share access credentials or permit others to access paid content outside authorized Platform features. Attempting to circumvent session limits, create parallel streams, or otherwise extend access beyond permitted use is a material breach.

4.7.5 Enforcement and Remedies. If we reasonably believe you have engaged in account sharing, circumvention, restreaming, piracy, or related abuse, we may (to the maximum extent permitted by law):
(a) terminate or suspend your account;
(b) revoke access to purchased content without refund;
(c) require additional authentication steps or payment verification;
(d) block devices, sessions, or IP ranges; and/or
(e) pursue legal remedies and cooperate with rights holders and law enforcement as appropriate.

4.7.6 No Impact on Non-Waivable Rights. Nothing in this Section limits rights that cannot be waived under applicable consumer protection laws.

5. Production Vendors Program

5.1 Independent Contractors; Separate Agreements

Production Vendors are independent contractors. Event Providers contract separately with vendors for scope, pricing, deliverables, staffing, insurance, and liability. Show Streamz is not a party to those agreements unless expressly stated in a signed writing.

5.2 Approved Production Partner Requirement

We may require an Event to use an Approved Production Partner and complete readiness gates (tests, checklists, security checks) before go-live.

5.3 Vendor Listing Controls

We may approve, deny, suspend, remove, or relabel vendors based on quality, safety, security, legal compliance, or reputational risk.

6. Purchases; Pricing; Subscriptions; Taxes

6.1 Disclosures Incorporated by Reference

All prices, Platform Fees, Delivery Fees (if disclosed), access windows, restrictions, and event-specific terms displayed at checkout/configuration are incorporated into these Terms and govern that transaction.

6.2 Subscriptions and Auto-Renewal

Subscriptions renew until canceled. You authorize recurring charges. Cancellation generally takes effect at the end of the current billing cycle unless required by law.

6.3 Taxes

Taxes may be collected where required. Event Providers and Production Vendors are responsible for their own tax compliance.

7. Refunds and Event Issues

Refunds, credits, cancellations, postponements, and remedies are governed by the Refund & Cancellation Policy. Submit issues to support@showstreamz.com.

8. Tips

Tips are voluntary and generally non-refundable except where required by law or in verified unauthorized transactions.

9. Merchandise and Merch Drops

Unless Show Streamz is expressly identified as seller of record, merchandise is sold by Event Providers or third parties, who are responsible for fulfillment, returns, refunds, and compliance.

10. User Content; Rights; Licenses; Marketing

10.1 Your Ownership

You retain ownership of your User Content.

10.2 Operational License (Required to Run the Platform)

By submitting User Content, you grant Show Streamz a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, encode, reproduce, distribute, transmit, publicly perform/display, and make technical modifications solely as necessary to operate the Platform, deliver access, provide support, prevent fraud, enforce Terms/Policies, and comply with law.

10.3 Marketing License

Event Providers grant Show Streamz a worldwide, non-exclusive, royalty-free license to use Event titles, names, approved artwork, thumbnails, and up to 30 seconds of excerpts/stills for marketing and promotion during availability and for 12 months after removal/expiration. No standalone exploitation outside the Platform without a separate written agreement.

10.4 Rights Warranty

You represent and warrant you have all rights, licenses, permissions, and releases necessary for your Content and Event activities.

11. Fees, Settlement, and Payouts

11.1 Pricing and Fee Disclosures Incorporated by Reference

Plan pricing, Platform Fee percentages, Delivery Fees, deposit requirements, and any Starter-tier Free Promo distribution fees are disclosed in the Platform at sign-up/configuration/checkout and incorporated by reference.

11.2 Paid Shows Order of Operations

For PPV/ticketing and paid VOD (unless otherwise disclosed for a specific transaction type):

  1. Gross Receipts (excluding taxes)

  2. minus Refund Adjustments

  3. minus Processing Fees

  4. minus Delivery Fees

  5. minus other disclosed pass-through costs = Net Proceeds (Pre-Platform Fee) Then:

  6. Platform Fee = Platform Fee % × Net Proceeds (Pre-Platform Fee)

  7. Remainder = Net Proceeds (Post-Platform Fee) available for payout/allocation.

11.3 Multi-Party Events

Platform Fee is applied once per transaction, then Net Proceeds (Post-Platform Fee) are allocated according to dashboard split settings or written deal terms.

11.4 Free Promo Shows
  • Delivery Fees apply to all tiers.

  • Deposit required in advance to cover estimated Delivery Fees and pass-through costs; deposit is quoted and agreed prior to scheduling.

  • Starter tier pays a platform distribution fee for Free Promo Shows (quoted and agreed prior to scheduling).

  • Paid tiers do not pay a platform distribution fee for Free Promo Shows unless expressly disclosed for a specific plan/transaction type.
    Reconciliation occurs after the Event; underpayments must be paid; overages may be credited or refunded subject to risk controls.

11.5 Holds; Reserves; Offsets

We may hold or reserve payouts for verification, chargeback windows, disputes, legal claims, or compliance; and offset negative balances against future payouts.

12. Event Provider Responsibilities

Event Providers must deliver Events as represented; meet Production Standards; secure rights/clearances; comply with law and any union/guild obligations; provide accurate marketing; ensure safety for in-person productions; and respond to operational escalations.

12.1 Event Provider Payment, Labor, and Vendor Responsibility

12.1.1 Sole Responsibility for Compensation. Event Providers are solely responsible for paying all amounts owed in connection with their Events, including performers, talent, musicians, comedians, crew, employees, contractors, Production Vendors, venue staff, promoters, licensors, and any other third parties.

12.1.2 No Employment/Payroll Relationship. Show Streamz is not the employer (or joint employer), payroll provider, agent, or manager of any person engaged by an Event Provider. Event Providers are solely responsible for hiring, classification, supervision, workplace safety, insurance, and compliance.

12.1.3 Taxes and Withholding. Event Providers are solely responsible for payroll taxes, withholdings, reporting, workers’ compensation, unemployment insurance, and contractor classification compliance.

12.1.4 Union/Guild Compliance. Event Providers are solely responsible for compliance with union/guild/CBA obligations (including required payments, reporting, residuals/reuse obligations, and clearances).

12.1.5 No Liability for Non-Payment. Show Streamz has no responsibility or liability for any Event Provider’s failure to pay any person or entity. Event Providers must indemnify Show Streamz for claims arising from alleged non-payment or employment/labor disputes.

13. Prohibited Conduct

No infringement, piracy, harassment/doxxing, fraud, scraping/crawling, malware, security circumvention, or interference with Platform operations.

14. Third-Party Services

The Platform relies on third-party infrastructure and Payment Processors; changes/outages may affect service.

15. Show Streamz Intellectual Property

15.1 Ownership

Show Streamz owns or licenses the Platform and all related IP, including software, code, architecture, UI/UX, workflows, tools, dashboards, analytics, reporting formats, settlement logic, fraud/risk systems, Production Standards, moderation systems, documentation, and content protection methods.

15.2 Limited License

We grant a limited, revocable license to use the Platform solely as intended and only while you comply with these Terms.

15.3 Restrictions

You may not reverse engineer; scrape/crawl/harvest; create derivatives or clones; use Platform outputs to develop/train competing services; circumvent security; remove proprietary notices; or use Show Streamz trademarks without permission.

15.4 Injunctive Relief

You acknowledge breach causes irreparable harm and Show Streamz may seek injunctive relief (to the extent permitted by law).

16. Suspension; Termination; Enforcement

We may suspend/terminate accounts, remove Content, disable features, delay Events, refuse service, and take enforcement actions to protect the Platform, enforce Terms/Policies, prevent fraud/piracy, address legal risk, or comply with law.

17. DISCLAIMERS; NO WARRANTIES; THIRD-PARTY EVENTS; STREAMING LIMITATIONS

17.1 Platform Provided “As Is.”

To the maximum extent permitted by law, the Platform and all features are provided “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS.”

17.2 Disclaimed Warranties

We disclaim all warranties, including implied warranties of merchantability, fitness, title, non-infringement, accuracy, availability, and quiet enjoyment.

17.3 No Guarantee of Uninterrupted Service

We do not guarantee the Platform or any Event/VOD will be uninterrupted, timely, secure, error-free, or compatible with any device/network.

17.4 Third-Party Events and Vendor Services

Except for Show Streamz Produced Events, Events are produced/delivered by Event Providers. Production Vendors are independent. We do not warrant Event quality, production outcomes, vendor performance, schedules, lineups, or venue conditions.

17.5 Listings and Promotions

Event descriptions and promotional materials may be provided by Event Providers; we do not guarantee their accuracy.

17.6 Safety

For third-party Events, we are not responsible for venue conditions or on-site incidents.

17.7 Jurisdictional Rights

If disclaimers are limited by law, they apply to the maximum extent permitted.

18. LIMITATION OF LIABILITY; EXCLUSION OF DAMAGES

18.1 Exclusion of Indirect Damages

To the maximum extent permitted by law, Show Streamz is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits/revenue/data/goodwill/opportunity, arising from the Platform, Events/VOD, vendors, or these Terms, under any legal theory, even if advised of the possibility.

18.2 No Liability for Third-Party Events/Vendors

To the maximum extent permitted by law, we are not liable for acts/omissions of Event Providers, Production Vendors, venues, performers, promoters, or other third parties.

18.3 Liability Cap

To the maximum extent permitted by law, our total aggregate liability will not exceed the greater of: (a) amounts you paid to Show Streamz (excluding taxes) in the 3 months preceding the claim, or (b) $100.

18.4 Allocation of Risk

You agree this allocation is an essential basis of the bargain.

18.5 Exceptions

Nothing limits liability that cannot be limited under applicable law.

19. INDEMNIFICATION; DEFENSE; COOPERATION

19.1 Indemnity

You agree to defend, indemnify, and hold harmless Show Streamz and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from all claims, liabilities, losses, damages, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Platform;

  • your breach of Terms/Policies;

  • your User Content and any rights violations;

  • your Event operations (if an Event Provider) including production, safety, staffing, marketing representations, scheduling, rights clearance, and compliance;

  • your services (if a Production Vendor);

  • any dispute regarding payments owed by you (including performers/talent/crew/vendors, payroll taxes, union/guild obligations);

  • fraud, chargeback abuse, piracy, or circumvention;

  • disputes with other Users or third parties.

19.2 Defense/Settlement

We may assume control of defense/settlement. You will cooperate. You may not settle in a manner imposing obligations on Show Streamz without our written consent.

19.3 Setoff/Withholding

We may withhold payouts, place reserves, or offset amounts owed against amounts payable to you.

19.4 Survival

Indemnity survives termination.

20. RELEASE OF CLAIMS FOR THIRD-PARTY EVENTS/VENDORS 

20.1 Release

To the maximum extent permitted by law, if you participate in, purchase access to, attend, or otherwise engage with a third-party Event (i.e., not a Show Streamz Produced Event) or contract with or use a Production Vendor, you release Show Streamz and its affiliates, officers, directors, employees, agents, and service providers from any and all claims and liabilities arising out of or related to that third-party Event or Production Vendor services, including claims relating to event quality, lineup changes, scheduling, venue conditions, staffing, production outcomes, vendor performance, safety incidents, or non-payment disputes.

20.2 Non-Waivable Rights Carve-Out

This release does not apply to the extent prohibited by law and does not release claims based on Show Streamz’s own willful misconduct or liability that cannot be waived under applicable law.

20.3 Third-Party Beneficiaries 

Event Providers and Production Vendors are not third-party beneficiaries of this release unless explicitly designated by Show Streamz in writing.

21. TIME LIMIT TO BRING CLAIMS 

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Platform or these Terms must be filed within one (1) year after the claim accrues. Otherwise, the claim is permanently barred. This limitation does not apply where prohibited by law.

22. Dispute Resolution; AAA Arbitration; Class Action Waiver; Nevada Law

Before filing, contact legal@showstreamz.com to attempt informal resolution (support issues to support@showstreamz.com).

Except for small claims and injunctive/equitable relief, disputes will be resolved by binding arbitration administered by the AAA under applicable rules. Location: Clark County, Nevada, unless otherwise agreed. Claims must be brought individually (class action waiver). Nevada law governs. If court proceedings are permitted, exclusive venue is Clark County, Nevada.
